Total ban on re-export of MaxxECU products to the Russian Federation

1). You, as a customer of Maxxtuning AB organization no SE556740-1319 with MaxxECU as its trademark, may not directly or indirectly sell, export or re-export goods supplied by us at MaxxECU under or in connection with this Agreement and falling within the scope of Article 12g and Annex XL of Council Regulation (EU) No 833/2014, to the Russian Federation or for use in the Russian Federation.

2). As a customer of us at MaxxECU, you shall use your best endeavours to ensure that the purpose of paragraph 1 is not frustrated by any third party further down the commercial chain, including any resellers.

3). As a customer, you must establish and maintain a reasonable monitoring mechanism to detect whether third parties further down the commercial chain, including any resellers, are acting in a way that would defeat the purpose of paragraph 1.

Any breach of paragraph 1, 2 or 3 constitutes a material breach of a substantial part of the agreements you have with MaxxECU and we are entitled to require reasonable remedial action, including but not limited to:

  • Immediate termination of your customer agreement with us for cause;
  • The imposition of liquidated damages of 50% of the total net value of the respective order, whereby you as a customer are expressly entitled to prove that no damage has occurred or that the value of such damage is substantially lower than the amount of the liquidated damages.
  • Immediate termination of your customer contract with us for legitimate reasons; and
  • The imposition of a penalty of 50% of the total net value of the respective order, whereby you as a customer are expressly entitled to prove that no damage has occurred or that the value of such damage is significantly lower than the amount of the penalty.

You as a customer shall inform MaxxECU without delay of any problems in the application of paragraph 1, 2 or 3, including any relevant activities of third parties that could counteract the purpose of paragraph 1. You, as the customer, shall provide MaxxECU with any information relating to compliance with the obligations under paragraphs 1, 2 and 3 within two weeks of a simple request by us for such information.
